1. Acceptance of Terms

By accessing and using the website and services of AiSHA Technologies OÜ ("Company," "we," "our," or "us"), you ("Client," "you," or "your") accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

AiSHA Technologies OÜ provides technology consulting services including but not limited to:

• Software development and custom application solutions
• Digital transformation consulting
• IT strategy and architecture consulting
• System integration and implementation
• Data analytics and business intelligence
• Cybersecurity consulting

4. Service Agreements

Specific terms for each project will be outlined in separate service agreements or statements of work. These Terms and Conditions serve as the general framework for all engagements unless specifically modified in writing.

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Respond promptly to requests for information or feedback
• Make timely payments as agreed
• Comply with all applicable laws and regulations
• Respect intellectual property rights

6. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Invoices are payable within 30 days of receipt
• Late payments may incur interest charges
• Services may be suspended for non-payment
• All prices are exclusive of applicable taxes

7. Intellectual Property

Unless otherwise agreed in writing, all intellectual property rights in work product created by AiSHA Technologies OÜ shall remain with the Company until full payment is received. Upon full payment, specified rights will be transferred to the Client as outlined in the service agreement.

Both parties agree to maintain the confidentiality of all proprietary and confidential information shared during the course of the engagement. This obligation survives the termination of any service agreement.

9. Warranties and Disclaimers

AiSHA Technologies OÜ warrants that services will be performed in a professional and workmanlike manner. However:

• No warranty is made regarding specific results or outcomes
• Services are provided "as is" without additional warranties
• We disclaim all implied warranties to the extent permitted by law

10. Limitation of Liability

To the maximum extent permitted by law, AiSHA Technologies OÜ's total liability for any claim arising from or relating to our services shall not exceed the amount paid by the Client for the specific services giving rise to the claim.

11. Termination

Either party may terminate a service agreement with written notice as specified in the agreement. Upon termination, the Client shall pay for all services performed up to the termination date.

12. Force Majeure

Neither party shall be liable for any failure to perform due to causes beyond their reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, or technological failures.

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Estonia. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of Estonian courts.

14. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR) where applicable.
